Platform Terms of Use

1. Overview

Happyapple (NZBN 9429051229634) is operated from New Zealand. Happyapple is an online marketplace connecting New Zealand photographers with customers who wish to license photographic images. Happyapple operates as a marketplace facilitator — photographers supply images and set their own licence terms; Happyapple is not the seller of the images. These terms govern your use of the Happyapple website and services.

2. Acceptance of terms

By browsing, registering an account, or making a purchase on Happyapple, you accept these terms. If you do not accept these terms, do not use this website. Photographers are additionally bound by the Photographer Agreement accepted during onboarding.

3. About the service

Happyapple hosts and displays photographic images uploaded by photographers. The platform provides browse, search, category, and recommendation features to help customers discover images. Photographers retain full ownership of their work; Happyapple facilitates the licence transaction between photographer and customer.

Happyapple uses automated tools, including artificial intelligence, to assist with content moderation and image metadata generation. The platform may change, suspend, or remove features at any time.

4. User accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your password and for all activity that occurs under your account. Happyapple may suspend or terminate accounts that breach these terms or that are used for abusive, fraudulent, or unlawful purposes.

5. Marketplace role

Happyapple is a marketplace facilitator, not the seller of images. Each listing is supplied by an independent photographer who sets the price and licence terms for that listing. The licence terms for a specific image are set by the photographer and may differ between listings. Happyapple does not guarantee that any image is suitable for your specific intended use — that assessment is your responsibility.

6. Orders and payment

All prices are in New Zealand dollars (NZD) inclusive of any applicable GST. Payment is processed by Stripe. Your purchase is complete when payment is confirmed and the download link is delivered to you. Happyapple does not supply physical products. Failed payments are handled per Stripe's payment processing terms. Suspected fraudulent transactions may be cancelled without notice.

7. Digital product information and refunds

Purchased image files are delivered digitally and immediately after payment confirmation. Files are provided in JPEG or WebP format at the resolution purchased. Download links are accessible via your order history.

Because digital image files are delivered immediately and cannot be returned, all sales are final and non-refundable, except where a refund is required under the New Zealand Consumer Guarantees Act 1993. If a purchased file is inaccessible or damaged, contact legal@happyapple.co.nz for a replacement.

Preview images displayed on Happyapple are watermarked and available for free download for evaluation purposes only. Preview downloads confer no licence to use the image. Preview images may not be used commercially or shared as if they were purchased files.

8. Acceptable use

You may not use Happyapple to:

• Scrape, crawl, or systematically extract content from the platform
• Reverse engineer any part of the platform or its software
• Abuse, manipulate, or circumvent the checkout or payment systems
• Upload, share, or distribute unlawful, defamatory, or harmful content
• Impersonate another person or entity, or engage in fraud
• Remove or circumvent watermarks on preview images before purchase
• Use purchased files outside the scope of the licence granted at purchase

9. Intellectual property

The Happyapple platform, including its design, software, and branding, is owned by Happyapple. Photographic images are owned by the respective photographers. Purchasing an image grants you only the licence described in the relevant photo terms — no copyright or ownership of the image is transferred to you. No intellectual property rights are transferred by implication.

10. Privacy

Your use of Happyapple is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

11. Disclaimers

Happyapple does not guarantee uninterrupted or error-free service. The platform does not independently verify that every image is suitable for every intended use, and does not provide legal advice on how you may use a purchased image. Nothing in these terms limits or excludes any rights you have under New Zealand consumer law that cannot be excluded.

12. Limitation of liability

To the maximum extent permitted by New Zealand law, Happyapple's liability to you is limited to the amount you paid for the relevant transaction. Happyapple excludes liability for indirect, consequential, or incidental loss or damage. Nothing in these terms excludes liability that cannot be excluded under New Zealand law, including under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

13. Termination

Happyapple may suspend or terminate your account at any time for breach of these terms or for any other legitimate reason. On termination, your access to download links may be affected. Order records are retained in accordance with our Privacy Policy.

14. International use

Happyapple is operated from New Zealand. If you access the platform from outside New Zealand, you are responsible for compliance with your local laws. Happyapple does not represent that the platform or its content complies with the laws of any jurisdiction outside New Zealand.

15. Governing law

These terms are governed by the laws of New Zealand. Any dispute arising from your use of Happyapple will be subject to the exclusive jurisdiction of the New Zealand courts.
